NYBOT members approve merger with ICE

NEW YORK, Dec 11 (Reuters) - Energy derivatives marketplace IntercontinentalExchange Inc. (ICE.N: Quote, Profile , Research) and soft commodity exchange the New York Board of Trade (NYBOT) said on Monday NYBOT members overwhelmingly approved their proposed merger.

Of votes cast, 93 percent voted in favor of the transaction.

ICE agreed to buy NYBOT last September for about $1 billion in cash and stock in a move that allows ICE to expand into agricultural commodities. The transaction is expected to close in early 2007.



ICE shares closed up almost 5 percent at $113.21 on the New York Stock Exchange.

"We are one very important step closer to consummating this historic merger," said ICE chairman and chief executive officer Jeffrey Sprecher.

"We believe this is the strongest indication the NYBOT membership shares our vision and drive to create the premier global commodity marketplace."

The deal signals the triumph of electronic trading in the rapidly growing commodities futures markets. IntercontinentalExchange is electronic, while NYBOT had long clung to open-outcry trading, and only recently took steps toward the electronic arena.

NYBOT trades futures and options on coffee, cocoa, sugar, cotton and frozen concentrated orange juice among other commodities.

Monday's vote went ahead, despite a lawsuit filed last Friday against NYBOT in New York State Supreme Court by so- called "permit holders" of the exchange who were barred from voting on the deal.

Under NYBOT's rules, only "equity members" are allowed to vote on the deal. These members own seats on the NYBOT and can trade all of its agricultural and financial futures and options contracts.

ATLANTA and NEW YORK (December 11, 2006) --IntercontinentalExchange (NYSE: ICE), the leading electronic energy marketplace, and the New York Board of Trade® (NYBOT®), the leading soft commodity exchange, today announced that NYBOT members overwhelmingly approved the proposed merger transaction in a special member meeting held today.

The transaction required that NYBOT members vote to approve and adopt the Agreement and Plan of Merger by a two-thirds majority of the votes cast at the special meeting. Of the votes cast, 93% voted in favor of the transaction. Corporate Election Services served as the Inspector of Election and certified the voting results.

NYBOT and ICE are working toward the launch of electronic trading of NYBOT’s products. NYBOT recently entered into a licensing agreement for the ICE trading platform to offer electronic trading of NYBOT products, for the first time in NYBOT’s history. ICE maintains and develops its technology, which has been tailored to serve the global commodity markets. Today, thousands of commodity market participants in 44 jurisdictions rely on ICE’s liquid and Internet-accessible trading platform to trade contracts on crude oil and refined products, natural gas and power.

The transaction consideration will comprise approximately 10.297 million shares of ICE common stock and $400 million in cash. Upon closing, NYBOT will become a wholly-owned subsidiary of ICE and will be a for-profit corporation. The companies announced the merger agreement on September 14, 2006, and the transaction is expected to close in early 2007.

ti ricordi del sogno di comprarsi un sedia al Nybot :D l'avessimo fatto :sad: in un anno son schizzate alle stelle da 300-400k $ agli ultimi 1,100k $ e ora ci sarebbe anche il premio per il merger con l'ICE

il 26 con una settimana di ritardo sul previsto, partiranno sull'elettronico dell'ICE anche le ultime mp rimaste confinate nella vecchia fossa di NY . Il NYMEX per far dispetto ha cercato l'anticipo ma le sue soft commodities trattate sul GLOBEX raccolgono pochissimi volumi nonostante commissioni gratis fino a giugno.



ICE Extends Launch Date of Electronic Trading of NYBOT Soft Commodities to January 26

ATLANTA (January 16, 2007) --IntercontinentalExchange (NYSE: ICE), the leading electronic energy marketplace and soft commodities exchange, will extend the start date of side-by-side trading at its New York Board of Trade (NYBOT) subsidiary by one week to accommodate demand for electronic trading enrollment and training. Side-by-side trading of the NYBOT’s benchmark agricultural commodities on ICE’s electronic trading platform will commence the evening of January 25 for the trade date January 26.



“The interest in side-by-side trading has been strong and we are working closely with the NYBOT team to meet the demand for connectivity and training,” said ICE’s President and Chief Operating Officer, Chuck Vice. “The extra week will allow us to support the trading community’s efforts to establish electronic trading capabilities prior to the launch.”



Electronic trading will be offered in the physical contracts for Sugar #11 (SB), Sugar #14 (SE), Cotton (CT), Coffee (KC), Cocoa (CC), and Orange Juice (OJ). Prospective electronic traders can contact the NYBOT membership office for more information, or refer to the ICE website at www.theice.com/nybot_info. A set of FAQ’s and Webinars are also available on the ICE website. Training classes are being held at the NYBOT.



NYBOT is coordinating the enrollment of users for direct access to the exchange through the WebICE trading screen or through any of the leading independent software vendors. Qualified algorithmic and proprietary traders with access to ICE and ICE Futures products will be able to access NYBOT products upon execution of an access agreement with NYBOT.
