Ratio: To receive 1'085 new 8.75 % senior notes due 2024 for 1'000 nominal
The early fee of USD 50 per USD 1'000 nominal is already included in the exchange ratio.
New notes: The new notes will be issued in denominations of 2'000 and multiples of 1'000. The company will not accept any tender of old notes that will result in the issuance of less than 2'000 principal amount of new notes. The company will round down the principal amount if it is not an integral of multiple of 1'000. No cash will be paid in lieu of any notes not received as a result of rounding down.
Accrued and unpaid interest: Accrued and unpaid interest will be paid up to (but not including) the settlement date.
Taxation: This offer can have tax implications and/or withholding tax consequences and we therefore advise you to contact your tax advisor before making your decision.
