Repurchase at the option of holders Change of control The Indenture will provide that if a Change of Control occurs, unless the Issuer has previously or concurrently electronically delivered or mailed a redemption notice with respect to all the outstanding Notes as described under “—Optional redemption” or “—Satisfaction and discharge,” the Issuer will make an offer to purchase all of the Notes pursuant to the offer described below (the “Change of Control Offer”) at a price in cash (the “Change of Control Payment”) equal to 101.000% of the aggregate principal amount thereof plus accrued and unpaid interest, if any, to, but excluding, the date of repurchase, subject to the right of Holders of record on the relevant record date to receive interest due on the relevant interest payment date prior to such repurchase. Within 30 days following any Change of Control, the Issuer will send notice of such Change of Control Offer electronically or by first-class mail, postage prepaid, with a copy to the Trustee, to each Holder at such Holder’s registered address or otherwise in accordance with the procedures of Euroclear and Clearstream, with the following information: (1) a Change of Control Offer is being made pursuant to this covenant and all Notes properly tendered pursuant to such Change of Control Offer will be accepted for payment by the Issuer; (2) the purchase price and the purchase date, which will be no earlier than 20 Business Days nor later than 60 days from the date such notice is mailed or otherwise delivered (the “Change of Control Payment Date”), subject to extension (in the case where such notice is mailed or otherwise delivered prior to the occurrence of the Change of Control) in the event that the occurrence of the Change of Control is delayed; (3) any Note not properly tendered will remain outstanding and continue to accrue interest; (4) unless the Issuer defaults in the payment of the Change of Control Payment, all Notes accepted for payment pursuant to the Change of Control Offer will cease to accrue interest on the Change of Control Payment Date; (5) Holders electing to have any Notes purchased pursuant to a Change of Control Offer will be required to surrender such Notes, with the form entitled “Option of Holder to Elect Purchase” on the reverse of such Notes completed, to the paying agent at the address specified in the notice or otherwise in accordance with Euroclear and Clearstream procedures, prior to the close of business on the third Business Day preceding the Change of Control Payment Date; (6) Holders will be entitled to withdraw their tendered Notes and their election to require the Issuer to purchase such Notes; provided that the paying agent receives, not later than the close of business on the second Business Day prior to the expiration date of the Change of Control Offer, a facsimile transmission or letter or other notice in accordance with Euroclear and Clearstream procedures setting forth the name of the Holder, the principal amount of Notes tendered for purchase, and a statement that such Holder is withdrawing its tendered Notes and its election to have such Notes purchased; (7) Holders whose Notes are being purchased only in part will be issued new Notes and such new Notes will be equal in principal amount to the unpurchased portion of the Notes surrendered; provided that the unpurchased portion of the Notes must be equal to at least €100,000 or any integral multiple of €1,000 in excess thereof; (8) if such notice is delivered prior to the occurrence of a Change of Control, stating that the Change of Control Offer is conditional on the occurrence of such Change of Control and describing each such condition, and, if applicable, stating that, in the Issuer’s discretion, the Change of Control Payment Date
quindi - se ho capito bene - la superior ind ha tempo 30 gg per informarci del cambio di controllo e successivi 20/60 giorni per rimborsare i bond al prezzo di 101 piu' interessi.
 
Vedo negli ultimi giorni un recupero di BB&B (seguo la 2044)... c'è qualche news che mi sono perso o sono normali movimenti con bassi volumi?
 
Ratings agency Fitch on Tuesday downgraded Telecom Italia's credit rating to 'BB-' from 'BB', citing absence of sufficient debt reduction in 2022.
Fitch said its outlook for Italy's biggest phone group was "negative", warning that higher inflation and lower consumer purchasing power will affect the company's earnings before interest, taxes, depreciation, and amortization (EBITDA) and its revenue.

"We expect Fitch-defined EBITDA to decrease to EUR 5 billion in 2022 from EUR 5.3 billion in 2021," the ratings agency said.
