Novo Banco, S.A. informs about capital increase
Novo Banco, SA (“novobanco” or the “Bank”) informs that, following the Executive Board of Directors and the extraordinary General Shareholders Meeting held today, the capital increase arising from the conversion of conversion rights relating to the 2015 fiscal year was approved. The conversion rights were issued under the special regime applicable to deferred tax assets approved by Law No. 61/2014, of 26 August, as amended. This capital increase of novobanco is done with the incorporation of reserves in the amount of €154,907,314 (one hundred fifty-four million, nine hundred and seven thousand, three hundred and fourteen euros), through the issuance of 154,907,314 (one hundred and fifty-four million, nine hundred and seven thousand, three hundred and fourteen) new shares representing 1.56% of its share capital and which are attributed to the Portuguese State in accordance with the mentioned regime. The share capital of novobanco increases to €6,054,907,314 (six billion, fifty-four million, nine hundred and seven thousand, three hundred and fourteen euros). With this capital increase and as per agreement between the Resolution Fund and the shareholder Lone Star in the context of the sale of the 75% share capital of novobanco, only the Resolution Fund will be diluted. The registration of the capital increase is scheduled to take place on December 17, 2021.
This announcement is made in accordance and for the purpose of article 248-A of the Portuguese Securities Code and does not constitute an offer of the Notes.
