Che succede alle P di Eurohypo in caso di chiusura ? Diventano P di Commerzbank ?
Facciamo una breve analisi:
- Commerzbank deve cedere Eurohypo per volere Commissione Europea
- Eurohypo non é messa benissimo per cui non puó finire nelle mani di qualche altro istituto pericolante ( dopotutto Bafin ha salvato Commerzbank per salvare anche Eurohypo )
- Per cui se finisce nelle mani di qualche istituto messo bene a noi va bene
- Ma nel caso in cui la chiudessero che succederebbe alle P di Eurohypo ? Se diventasero P di Commerzbank meglio per noi...

La mia sensazione è che la Germania - in generale - se ne stia bellamente sbattendo dell'Europa. E mi sembra che lo stesso atteggiamento lo stiano tenendo anche con riferimento ai disinvestimenti richiesti dalla UE. Magari sbaglio clamorosamente.
La chiusura di EuroHypo non credo sia fattibile. E' una delle più antiche banche tedesche, molto esposta in Germania, per cui è sistemica per il paese. E' legata mani e piedi con COBA, con cui ha anche il loss sharing agreement. Se non trovassero un acquirente, probabilmente cercherebbero di vendere le attività extra-Germania, per poi fondere Eurohypo in COBA. In questo scenario, le P di Eurohypo potrebbero beneficiarne.
E poi vedendo come hanno salvato i ciofeconi delle LandesBank e i Profit Certificates emessi da queste (vedi sopra WestLB), non credo che butteranno a mare Eurohypo. Sarebbe da studiare, ma non credo sarebbe fattibile nemmeno legalmente. Già adesso le associazioni dei consumatori sono sul piede di guerra, figuriamoci poi se la Germania lasciasse andare Eurohypo (dopo aver pure salvato la Grecia...)... Sempre IMHO.
CMQ allo stato attuale, i P di Eurohypo sono molto rischiosi. Potrebbe succedere di tutto.

la cosa può andare in mille modi diversi.
fusione di alcune attività in Coba, e vendere il resto (bisogna vedere dove finiscono i p.)
potrebbero fare una sostituzione del garante, da eurohypo a altra società del gruppo, come riportato anche sul prospetto:
Substitution At any time, the Bank will have the right to
(i) substitute as obligor on the Debt Securities a subsidiary that is consolidated
with the Bank for German bank regulatory purposes and of which
more than fifty percent (50%) of the outstanding voting stock or other
equity interest entitled ordinarily to vote in the election of the directors or
other governing body (however designated) and more than fifty percent
(50%) of the outstanding capital stock or other equity interest is, at the
time, beneficially owned or controlled directly or indirectly by the Bank
(“Qualified Issuer”); or
(ii) replace the Debt Securities with a subordinated bond issue issued in substitution
therefor by the Bank (acting directly or through a branch) or a Bank
Affiliate that is consolidated with the Bank for German bank regulatory purposes
with terms identical to those of the Initial Debt Securities, provided,
that (A) such substitution or replacement does not result in a Company Special
Redemption Event (as defined under “Description of the Company
Securities – Company Class B Preferred Securities – Redemption”), and (B)
the Bank, unless it, itself, is the substitute obligor, guarantees on a subordinated
basis, at least equal to the ranking of the Initial Debt Securities, the
obligations of the substitute obligor (the “Substitute Debt Securities”),
issued by the Bank or a Qualified Issuer with identical terms to those of the
Initial Debt Securities; and (C) the Bank has obtained any required regulatory
approval.

Distributions
at Liquidation
In the event of any voluntary or involuntary liquidation, dissolution, winding
up or termination of the Trust, the holders of the Trust Securities will be
entitled to receive a corresponding amount of the Company Class B Preferred
Securities. The holders of the Trust Preferred Securities will have a preference
over the holder of the Trust Common Security with respect to distributions
upon liquidation of the Trust.
Upon liquidation of the Company, the holder of the Company Class A Preferred
Security will receive the Debt Securities or Permitted Investments (including
accrued and unpaid interest thereon) as its liquidation distribution. Each
