Faurecia Shares Jump on $8 Bln Deal to Buy German Rival Hella

Faurecia SE is trading higher on Monday after it agreed to buy Hella GmbH & Co. KGaA in a deal that values its German rival at roughly 6.8 billion euros ($8.02 billion).
At 0819 GMT shares were up 6%, while Hella is down 2.6%. The deal, which Berenberg said makes a lot of sense strategically, would create the seventh largest automotive supplier world-wide, both companies said.
French automotive supplier Faurecia will acquire a 60% stake in Hella from the German Hueck family at a price of EUR60 per share. It will pay through a combination of EUR3.4 billion in cash and up to 13,571,428 newly issued shares, it said.
Faurecia will also launch a tender offer at EUR60 per Hella share for the remaining 40% stake plus a dividend of EUR0.96 per share, it said. The offer represents a 33% premium to Hella's share price prior to news of a potential acquisition, the company said.
Through this agreement, Hella's enterprise value will reach EUR6.7 billion, Faurecia said.
The deal--which should close in early 2022--is expected to create revenue synergies of between EUR300 million and EUR400 million of sales by 2025, and Faurecia targets more than EUR33 billion in sales in 2025 and an earnings before interest and taxes margin above 8.5%, it said.
Faurecia said the deal would increase profitability and create value for shareholders. "The combined Group will enjoy a double-digit EPS [earnings per share] accretion--including goodwill amortization & synergies implementation costs--of roughly 14% in 2023 and above 20% in 2024," it said.
"The combined product portfolio would be unquestionably enhanced, notably for Clarion Electronics and with Hella's EV [electric vehicles] exposure complementing Faurecia's zero-emission hydrogen capabilities," Berenberg said. "The integration of Hella's lighting, electronics and software businesses into Faurecia's wider interior ecosystem and in-house systems integration capabilities also support sizeable costs and revenue synergies," the brokerage said.
The combined company will focus on four growth areas including electric mobility and autonomous driving, Faurecia said.
