The boards of directors of Hellenic Postbank (TT) and its ailing TBank affiliate announced on Friday that they had approved the draft merger agreement for the absorption of the latter by the former.
The reference date of their merger balance sheets was set as March 31 2011.
Under the proposed deal, which will need shareholder approval, TT will absorb TBank, exchanging one of its shares for every 50 T Bank shares.
TT owns about a third of TBank, which is worth about 14.5 million euros on the Athens stock exchange. The number of shares held by the existing shareholders of Hellenic Postbank will remain unchanged.
Hellenic Postbank, which is about 34 percent state owned and has a current market value of 824 million euros, is on a list of state assets the government aims to privatize by 2015 with the aim of raising 50 billion euros.
The government has called on banks to investigate possible alliances to cope with the repercussions of an unprecedented debt crisis.

Greek Ministry Gives Environmental OK To European Goldfields

LONDON -(Dow Jones)- European Goldfields Ltd. (EGFDF) Friday was granted a long-awaited environmental permit by the Greek government to mine for gold and other metals in the country.
The minister of environment, energy and climate change, Giorgos Papakonstantinou, Friday "signed a decision approving the environmental terms" of the project involving mining and metallurgical facilities in Kassandra.
The project will involve an investment of around EUR1.3 billion and will directly employ about 1,800 workers, the ministry said.
The project aims to extract, process and produce metals such as silver, gold, copper and lead concentrates and zinc metal.
The ministry said "with the signing of the...project in Kassandra Chalkidiki [the ministry] reasonably believes that the prospect of mining activity in Greece is heading in a new direction where the management and protection of the environment, social responsibility and economic growth go hand in hand for the benefit of the country."
At 1138 GMT, European Goldfields' shares in London were up 78 pence, or 9.6%, at 890 pence a share.
