During May 2011, the Group completed a repurchase of a portion of the senior secured floating rate notes with a nominal value of €39 million for €35 million being 90% of the face value. The repurchase was funded from the proceeds raised through the issuance in March 2011 of the senior secured fixed rate notes. As a result of the buy-back, Edcon recognised a gain, net of associated fees, of R36 million.

Qui si sconta una ristrutturazione. Il punto è che il bond NRG (a differenza di Petrol), non è garantito dagli assets minerari che sono arrivati dopo l'emissione dello stesso e che avevano fatto incàzzare i bondholders a Londra perchè l'investimento nell'attività di estrazione dei diamanti non era contemplata dai covenants. Poi però, ebbero il via libera dai bondholders con una lauta fee di riconoscimento. Adesso, però, succede che il bond dovrà essere quasi sicuramente (visti i prezzi) ristrutturato, e l'emittente potrà far valere dalla sua il fatto che i 153 milioni di euro da rimborsare sono garantiti solo dagli asstes di alcune società del gruppo (Reclamation Property, Reclamation Group e Naledi metals) in seconda linea, dietro le banche (le quali hanno prorogato i prestito scadente a febbraio 2012 proprio in concomitanza con il rimborso del bond) che evidentemente valgono meno del 2005. Quindi, tutto si giocherà (se decideranno di ristrutturare) sulla rinegoziazione del debito ai valori attuali degli assets tenuto conto che prima dovranno garantire quello bancario.

Block & Leviton LLP (blockesq.com), a Boston-based law company on behalf of investors nationwide, is probing possible securities law violations linking Central European Distribution Corp (NASDAQ:CEDC). After trading closed on June 4, 2012, CEDC reported that it is reiterating its financial results for the period January 1, 2010 till now. The Company also announced that it is investigating whether any adjustments would be needed for the year ended December 31, 2009. According to the firm, posted net sales in the years ended December 31, 2010 and 2011 failed to exactly reflect whole amount of retroactive trade rebates given to the customers of the CEDC’s main subsidiary. The adjustments identified to date will result in a decrease of around $30 to $40 million in the firm’s consolidated net sales, operating profit and associated accounts receivable for the period January 1, 2010 through December 31, 2011. The corporation’s stock price has decreased around 10 percent on this news.
