Seat PG non paga la rata di dicembre del debito
Il consiglio di amministrazione di Seat Pagine Gialle ha deciso di non pagare la rata di dicembre di rimborso del capitale di 'debito senior' e quote di interessi per un totale di 55 milioni di euro (35 milioni di rata capitale e 20 milioni di interessi).

Lo afferma una nota della società in default tecnico che, entro il 16 gennaio prossimo, deve completare la ristrutturazione del debito, passaggio per il quale serve un allargamento del consenso tra le banche creditrici. (Ansa)

Solar Millennium AG files for opening of insolvency proceedings


Erlangen, 21 December 2011 Today, Solar Millennium AG (ISIN DE0007218406), Erlangen, has filed for the opening of insolvency proceedings at the district court in Fuerth.
Already since September, the Company has been in a very advanced state of negotiations on the sale of its US pipeline. Agreement exists to a large extend on this transaction; substantial contracts have already been signed. However, certain conditions for the effectiveness of the agreements have not yet been met. A binding confirmation on the amount and time of the cash flows could not be obtained until last. In addition, intensive negotiations with investors on the entrance into the project Ibersol could not be finalised. Both transactions would have generated funds beyond the current need for liquidity which would have laid the foundation for a further development of the Company.
The Management Board and the Supervisory Board deeply regret this development. In their effort to save existing assets for the shareholders and the creditors of the Company, the Company Bodies felt impelled to take this step.

TUI resolves to tender 33.3 per cent of Hapag-Lloyd stake to Albert Ballin consortium

The TUI Group is taking another major step on the path towards exiting Container Shipping. With the approval of the Supervisory Board, TUI AG’s Executive Board today decided to tender a 33.3 per cent stake in Hapag-Lloyd to the Hamburg-based Albert Ballin consortium. TUI thus uses its contractually agreed exit right to be exercised by 2 January 2012 at the latest. “Our exit from Container Shipping was set down more than three years ago with all partners in the Hamburg-based consortium. In the current year we have already reduced our invested capital by one billion euros. Exercising our tender right is now the next consistent step“, says TUI CEO Michael Frenzel.

Should an agreement on the value of the stake not be reached in a first phase of the tender process, the market value will be determined by an auditor acting as arbitrator, applying the principles of IDW S1 (principles for the appraisal of enterprises as issued by the German Auditors’ Institute) on the basis of Hapag-Lloyd’s expected future earning power. Should a sales contract with Albert Ballin not be drawn up by the end of September 2012 at the latest, TUI will be entitled to sell the majority in Hapag-Lloyd to third-party investors. In that case TUI could sell all remaining shares. The Hamburg-based consortium would then have to sell the required number of Hapag-Lloyd shares to the same investor at the same price to give the buyer majority control.

TUI currently holds a stake of around 38.4 per cent in Hapag-Lloyd.

Yioula Glassworks S.A. and Bank of Cyprus agreed to extend the €3.3 million bond facility which would have been expired on May, 2012, until May 2014. The loan will be repaid in six (6) semi-annual installments.
