Per i BB (mai per le preferred) gli emittenti stabiliscono talvolta la record date un giorno prima del
pagamento "if the notes are in book-entry form" oppure altra record date (es. 15gg prima) se non
lo sono. Se capisco bene "book-entry" si può tradurre con dematerializzati o altro concetto simile.
Ma come si fa a sapere se un titolo è in "book-entry form" o meno ?

“book-entry” è il procedimento usato per monitorare la proprietà di un titolo del quale non viene fornito all’investitore alcun certificato cartaceo di proprietà, i titoli vengono tracciati elettronicamente, piuttosto che in forma cartacea, questo ti permette di negoziare o trasferire titoli senza dover presentare un certificato cartaceo come prova della proprietà. La quasi totalità dei titoli accentrati è gestita in forma dematerializzata, i titoli ancora rappresentati in forma cartolare sono raggruppati in certificati globali o maxi certificati di grosso taglio.

Pennsylvania REIT (NYSE:PEI) received letters from lenders regarding alleged events of default related to its seven-year term loan agreement, its restated revolving/term loan credit agreement, and its bridge credit agreement.
It also received a letter from consenting lenders under its restructuring support agreement alleging that the company's failure to enter Chapter 11 cases on or before Oct. 18, 2020 constituted a breach of its obligations under the RSA.
The reservation letter in respect of each credit agreement states that interest will accrue on the outstanding principal balance of the borrower’s loans at the increased post-default rate beginning on Oct. 19, 2020.
PEI disputes the lenders' characterization of the situation and contends that no breach of the RSA or event of default under any of the credit agreements has occurred.
The REIT is in good-faith talks with its lenders in efforts to extend the date PEI would be required to start any potential Chapter 11 cases and to assure that the lenders don't exercise remedies under the alleged breach of the RSA and events of default.

Tra le prime cose che trovi nel prospetto di un titolo c’è l’elenco dei sottoscrittori seguito da questa dicitura:

"The underwriters expect to deliver the notes only in book-entry form through the facilities of The Depository Trust Company"

I sottoscrittori prevedono di consegnare le obbligazioni solo in forma di registrazione contabile attraverso le strutture di The Depository Trust Company
