Lupatech accepts binding proposal for the sale of
Tubular Services - Rio das Ostras operation assets
Nova Odessa, June 17th, 2013 - Lupatech S.A. (BM&FBOVESPA: LUPA3) (OTCQX: LUPAY) (Lupatech Finance LTD 97/8 Perpetual Bonds: ISIN USG57058AA01) ("Lupatech" or "Company"), one of the largest Brazilian supplier of products and services for the oil and gas sector, announces the acceptance of a binding proposal ("proposal") presented, on the current date, by V&M do Brasil S.A. ("V&M do Brasil") for the sale of assets of Tubular Services operation located in the city of Rio das Ostras, state of Rio de Janeiro ("Tubular - Rio das Ostras").
Tubular - Rio das Ostras is a branch of Lupatech Equipamentos e Serviços para Petróleo Ltda., a Company´s subsidiary that provides services of inspection, maintenance and dye coating of tubes in the oil & gas industry.
The proposal comprises the acquisition of machinery, equipment and facilities of Tubular - Rio das Ostras by V&M do Brasil for the amount of R$ 60 million (sixty million reais).
The conclusion of the sale and confirmation of its purchase price is subject to the terms and conditions provided in the proposal including a due diligence to be implemented and to the transaction approval by antitrust authorities.
