Novasep issues request for approval
“Hold” the NOVASP 9.625% at a mid price of 55 or a yield of 27.8%
Novasep issued a request for approvals from noteholders in which it basically confirmed that negotiations with bondholders are on-going. It also confirmed that the ad hoc group of bondholders in principal agreed to the forbearance (if Novasep makes the EUR 3 mn parrtial interest payment on August 4th noteholders agreed not to accelerate a repayment of the notes), rescission and de-listing waiver and requested noteholders to vote in favour of the proposal. It also outlined some technical procedures with regards to the voting mechanism. We keep our assessment of “Default” on the LARA scale and still do not believe the bonds offer much value given the high uncertainty involved

Giusto per chiarire la faccenda, i bondholders non chiederanno il rimborso anticipato dei bond in cambio di 3 mln di euro e in attesa che venga proposto e approvato il piano di ristrutturazione del debito dal tribunale di Nancy entro la metà di ottobre. Di fatto, quindi, i bond continueranno il loro corso maturando interessi (anche se verranno ritirati dal mercato ufficiale) fino a quando non verrà attuato il piano di ristrutturazione del debito. In altre parole, viene evitato il default in senso tecnico e giuridico che manderebbe a gambe all'aria anche l'industria farmaceutica, grazie a un accordo con i creditori (bondholders) ai quali verrà riservata una partecipazione più o meno significativa agli utili societari, cioè diventeranno azionisti. A questo punto, però, considerando che le obbligazioni non potranno essere rimborsate in anticipo perchè non si è aperta e non si aprirà una procedura fallimentare, è probabile che una piccola percentuale di bondholders si possa tenere i bond fino a scadenza, purché non aderiscano al piano di ristrutturazione proposto da Novasep (hold out). L'unica incognita sarebbe data dalla percentuale che Novasep richiederà ai creditori per il successo del piano, ma solitamente siamo intorno ai 2/3.

Con la firma del presidente Medvedev, è entrata in vigore la legge che proibisce la vendita di alcolici di notte. Il consumo di birra e vodka dalle 23 alle 8 raggiunge nelle grandi città russe picchi elevati se si considera che gli stores sono aperti 24 ore su 24. Il titolo CEDC quotato al Nyse è sceso sotto gli 11 dollari, dai 40 di un anno fa. La holding polacca, che aveva presentato una trimestrale poco convincente, ha annunciato già da tempo di voler vendere uno dei suoi stabilimenti in Russia. Sazka in bancarotta
Giovedì scorso Sazka, la compagnia ceca di cui avevamo parlato a Gennaio, è stata dichiarata fallita dal tribunale di Praga. Il bond da oltre 200 mln di euro stava già per andare in default sei mesi fa sul pagamento degli interessi, ma poi il fallimento fu evitato all'ultimo momento.

The High Court halted the proceedings regarding the appeal of SAZKA, a.s., the debtor, against the bankruptcy order and refused the appeal of the remaining creditors.This decision is final and the bankruptcy of SAZKA, a.s. is thus definitely confirmed. For the insolvency administrator and his team this means that they can continue their work uninterrupted. It also significantly strengthens the position of the insolvency administrator compared to the current situation and at the same time it gives far greater certainty to all business partners of SAZKA, a.s.
