NEW YORK (S&P Global Ratings) Nov. 20, 2019--S&P Global Ratings said today it assigned its 'BBB-' issue rating to AXA Equitable Holdings Inc.'s proposed issuance of noncumulative perpetual preferred shares. The company intends to use the net proceeds of the offering for general corporate purposes.

We consider these shares to be hybrid securities and assign intermediate equity credit to them due to the deferability of dividends, as well as our expectation that they will be a permanent part of AXA Equitable Holdings Group's (AEHG) capital structure. Post-issuance, we expect AEHG's financial leverage and fixed-charge coverage to continue to support the ratings. We estimate financial leverage will remain below 35% and fixed-charge coverage will remain above 4x.
