Il titolo mi piace, sono molto positivo anche su First Bank e Banco Popular. Le banche a Porto Rico fanno parte del sistema bancario statunitense e sono assicurate con la Federal Deposit Insurance Corp. (FDIC). Purtroppo negli ultimi anni Porto Rico ha dovuto affrontare gravi danni a causa di tempeste, uragani ( Irma e Maria ) e da ultimo il terremoto che hanno fiaccato l’economia del paese penalizzando non poco le banche. I rimborsi assicurativi e un recovery da $ 50 miliardi approvato dal congresso degli Stati Uniti stanno risollevando il paese. Secondo Moody’s, le prospettive per le tre principali banche del paese sono stabili, poiché l'agenzia di rating ritiene che Porto Rico uscirà dalla recessione e le banche saranno in grado di coprire le loro perdite di credito.

In connection with the closing of the merger, MVC Capital notified U.S. Bank National Association (“U.S. Bank”), the trustee for MVC Capital’s 6.25% Senior Notes due 2022 (the “MVC Notes”), of the election to redeem the remaining $95.0 million in aggregate principal amount of the MVC Notes outstanding at a price equal to 100% of the principal amount of the MVC Notes, plus accrued and unpaid interest on the Notes to, but excluding, the date of redemption. The trustee has been instructed to provide notice of such redemption to the holders of the MVC Notes in accordance with the terms of the indenture governing the MVC Notes. The redemption is expected to be completed on January 22, 2021 and will be funded with trust funds deposited with U.S. Bank in trust for such purpose. The indenture governing the MVC Notes was discharged at closing.
The MVC Notes have been delisted from the New York Stock Exchange (“NYSE”), and trading in the MVC Notes on the NYSE is expected to be suspended pre-market open on December 24, 2020. After the delisting, holders of the MVC Notes will continue to conduct business with and receive interest payments through the trustee, U.S. Bank. Barings BDC does not intend to arrange for listing and/or registration of the MVC Notes on another national securities exchange or for quotation on another quotation medium.
 
NEW YORK, Dec. 23, 2020 (GLOBE NEWSWIRE) -- Harvest Capital Credit Corporation (NASDAQ: HCAP) (“HCAP”) and Portman Ridge Finance Corporation (PTMN) (the “Company” or “PTMN”) announced today that they have entered into a definitive agreement under which HCAP will merge with and into PTMN, a business development company managed by Sierra Crest Investment Management LLC (“Sierra Crest”), an affiliate of BC Partners Advisors L.P. (“BC Partners”).

  • Portman Ridge Finance (NASDAQ:PTMN) +8% after-hours and Harvest Capital Credit (NASDAQ:HCAP) +16.2% on news that the investment companies have agreed to a merger.
  • The combined company will be externally managed by Sierra Crest Investment Management and is expected to have $757M in total assets and a $248M net asset value.
  • Harvest Capital shareholders will get consideration equal to HCAP's net asset value funded using Portman Ridge shares up to 19.9% of issued and outstanding shares.
  • Using Portman Ridge's Dec. 22 closing price of $1.80, the merger deal - including an additional cash payment from Sierra Crest - values Harvest Capital shares at $7.71 per share, which represents a 30% premium to HCAP's Dec. 22 closing price.
  • Following the deal, current HCAP stockholders are expected to own 16.6% of the combined company.
  • Portman Ridge trades at a 43% disc
