The Company expects to grant the underwriters a 30-day option to purchase additional shares to cover overallotments, if any. The Series D Preferred Stock trades on the Nasdaq Capital Market under the symbol "WHLRD."

Co. engages in acquiring, financing, developing, leasing, owning and managing strip centers, neighborhood centers, grocery-anchored centers, community centers and free-standing retail properties. Co. conducts its investment activities through its Operating Partnership, Wheeler REIT, L.P. At Dec 31 2015, Co. owned a portfolio consisting of 53 retail properties, including 39 retail shopping centers, three free-standing retail properties and one office property. Co.'s properties located in Virginia, Florida, North Carolina, South Carolina, Georgia, Kentucky, Tennessee, New Jersey, Alabama, West Virginia, and Oklahoma.
