whose interests may be different than ours.
Our majority shareholder, PDVSA is controlled by the Bolivarian Republic of Venezuela, which is in
charge of policies and regulations regarding our business. In circumstances involving a conflict of interest between
Venezuela (controlling shareholder of PDVSA, our majority shareholder), and the holders of the Notes, Venezuela
may exercise the rights arising from its ownership interest in a manner that would benefit Venezuela to the detriment
of the holders of the Notes.
