Diritto di accesso agli atti e legittimazione degli enti esponenziali. Il caso S.I.A.E.

L’Adunanza Plenaria del Consiglio di Stato è stata chiamata a pronunciarsi sulla sussistenza della legittimazione[1] e dell’interesse all’accesso di atti della Società Italiana Autori ed Editori (SIAE) da parte dei suoi associati, dell’Associazione per la Tutela degli Utenti, dell’Informazione, della Stampa e del Diritto d’autore e del Codacons.

Nel caso di specie, era stato opposto il diniego, a tali soggetti, all’istanza di accesso agli atti di talune delibere assembleari relative ai procedimenti con cui il consiglio di amministrazione della SIAE aveva disposto di investire importi di notevole entità nell’acquisto di obbligazioni emesse da una società, la “Lehman Brothers”, successivamente sottoposta a procedura concorsuale.


La S.I.A.E., avendo effettuato ingenti investimenti in obbligazioni emesse dalla società Lehman Brothers, subisce un grave danno patrimoniale in conseguenza del fallimento di detta società. Per tutelare le proprie ragioni, Codacons, Associazione degli Utenti ed alcuni associati S.I.A.E., fecero istanza di accesso[2] a delibere assembleari ed altri atti della S.I.A.E. afferenti al crack[3], ma si videro opporsi un diniego[4].

La chiave di volta del ragionamento portato avanti dal Collegio è costituita dal proprium dell’interesse all’accesso, che la normativa esige “diretto, concreto e attuale” e corrispondente “ad una situazione giuridicamente tutelata e collegata al documento al quale è chiesto l’accesso”.[11]

Forse spiegata la motivazione del cambio di strategia LBT.

In realtà Lehman Brothers Treasury Co. B.V. ("LBT"), che ben conosciamo quale società privata di diritto olandese, è interamente controllata da Lehman Brothers UK Holdings (Delaware) Inc. che, a sua volta, è interamente di proprietà di Lehman Brothers Holdings Inc. ("LBHI").

L'inghippo potrebbe nascondersi proprio in questo duplice passaggio.

Certo è che, se il tempo dovesse dimostrare che l'intera operazione di chiusura LBT e conseguente cambio titoli per gli istituzionali , non sia stata dovuta al solo scopo di scorporare attività gestionali divenute ormai antieconomiche per la procedura fallimentare ( come è stato ufficialmente detto ) ma per favorire una parte ben precisa dei creditori qualificati a scapito sostanzialmente degli altri, allora possiamo a giusta ragione aspettarci l'apertura di un nuovo, corposo filone giudiziario!!!

Administrator”), as Plan Administrator under the Modified Third Amended Joint Chapter 11
Plan of Lehman Brothers Holdings Inc. and its Affiliated Debtors, will present the annexed
Motion of Plan Administrator for an Order in Aid of Execution of the Modified Third Amended
Joint Chapter 11 Plan of Lehman Brothers Holdings Inc. and its Affiliated Debtors (the
“Motion”) and proposed order (the “Proposed Order”) to the Honorable Shelley C. Chapman,
United States Bankruptcy Judge, for signature on June 24, 2019 at 12:00 p.m. (Prevailing
Eastern Time).
PLEASE TAKE FURTHER NOTICE that unless a written objection to the
Motion and the Proposed Order, with proof of service, is served and filed with the Clerk of the
Court and a courtesy copy is delivered to the Bankruptcy Judge’s chambers and the undersigned
