Due to the high level of support for the Consent Agreement (over 90% of each relevant bondholder group, as you have seen in the 8-K), we expect to have sufficient support to execute a Restructuring Support Agreement with the Company, obligating the signatories to vote in favor of a plan incorporating the terms set forth in the Consent Agreement and Restructuring Support Agreement. Assuming the court approves the plan contemplated by the Restructuring Support Agreement, all holders of the 2017 notes—even those who do not sign the Restructuring Support Agreement—will be treated the same under the plan. Specifically, if the plan is confirmed, all holders of the 2017 notes will receive their pro rata share of equity in the reorganized Company.

We are writing with a further update on GenOn. This email is being sent to all Consenting Holders under the Consent Agreement, all members of the ad hoc group of GenOn and GAG noteholders, and additional parties who have contacted Ropes & Gray and/or Ducera expressing a desire to be kept apprised of developments.
Although we have made significant progress with both GenOn and NRG towards completion of the Restructuring Support Agreement (RSA) and the related term sheets, there are a handful of open points that still need to be resolved. We expect to provide a draft RSA as soon as the main points are closer to resolution. To provide all parties with sufficient time to review the terms of the RSA, we request your advance authorization to extend the Termination Time of the Consent Agreement to Friday, June 2, 2017 at 11:59 p.m. ET.
