Popular Said in Advanced Talks to Sell U.S. Unit to BCI (2)

By Manuel Baigorri, Matthew Monks and Esteban Duarte

(Bloomberg) -- Banco Popular Espanol SA, the beleaguered Spanish lender that has repeatedly tapped shareholders for funds, is in talks to sell its U.S. business to Chile’s Banco de Credito e Inversiones, people familiar with the matter said.

Discussions between the two banks about the sale of Florida-based TotalBank are advanced and an agreement could be reached soon, the people said, asking not to be identified because the talks are private. The unit could be valued at about

$500 million, the people said.

No final deal has been agreed on and talks could still fall apart, the people said. Other lenders with a presence in Florida remain interested in acquiring TotalBank, they said.

Popular is working with UBS Group AG to seek a buyer for TotalBank, people familiar with the matter said in March. A sale, along with the potential disposal of a stake in credit card unit WiZink, could help boost Popular’s core capital by more than 2 percentage points, the people said.

Representatives for BCI, Popular and UBS declined to comment.

Popular was trading 0.6 percent higher at 9:02 a.m. in Madrid Friday, bringing this year’s decline to 25 percent.

Chairman Emilio Saracho is speeding up plans to sell assets as it seeks to meet the European Central Bank’s capital requirements. The bank plans to press ahead with efforts to offload troubled assets, Chief Executive Officer Jose Ignacio Sanchez-Asiain, who took office last week, said Thursday in his first public speech.

Buying TotalBank would help BCI further boost its presence in Florida, where it has already bought one business from a troubled Spanish lender. In 2013, Bankia SA, a Spanish bank rescued with funds from Europe, agreed to sell City National Bank of Florida to BCI for $882.8 million. The deal took more than two years to get approval from the U.S. Federal Reserve.

TotalBank is a consumer and commercial bank with more than

$2.9 billion in assets and 18 locations in Miami-Dade County, according to its website. Popular bought TotalBank in 2007 for

$300 million as part of a drive to diversify into new geographies.

Exiting the U.S. would mirror the recent actions of Spanish rival Banco de Sabadell SA, which agreed in February to sell its U.S. retail banking unit to Iberiabank Corp. for about $1 billion.
