In response to a letter sent by the Hellenic Capital Markets Commission, Alpha
Bank announces that, in the hearing that took place on January 23rd 2012, the
Hellenic Competition Commission approved the proposed concentration, via merger
by absorption of Eurobank EFG by Alpha Bank, subject to commitments of the
parties regarding the following: (a) in relation to the credit cards acquiring market,
non-implementation from Cardlink SA (in which the merging entities are
shareholders) of any discretionary access or treatment of other acquiring banks,
and (b) for the factoring market, clarification of article 26 of the (standard)
agreement, so as to confirm that the commitment of the procurer not to transact
with other agents shall be limited only to such claims that are specifically included in
the scope of the relevant agreement.
With regard to the query about the timetable of the completion of the merger
between Alpha Bank and Eurobank EFG, both banks will make relevant
announcements in due time.
