Lehman Brothers Holdings Inc. to Sell $4.22 Billion of Claims Against Lehman Brothers Inc.
Lehman Brothers Holdings Inc. announced today that, following the conclusion of a “Dutch” auction process, it and certain of its controlled affiliates (“Lehman”) have agreed to sell $4.22 billion of their general unsecured claims (the “Claims”) against Lehman Brothers Inc. (“LBI”).
The Claims will be sold for 44.50% of their face value, yielding an aggregate purchase price of $1,877,900,000.
The sale of the Claims is subject to certain closing conditions, including the effectiveness of the settlement agreement, reached on February 21, 2013 between Lehman and James W. Giddens, Trustee for the SIPA Liquidation of LBI.
Lehman was represented by Weil, Gotshal & Manges LLP and advised by Lazard in connection with the auction.
