What are participation certificates?
Participation certificates are a special form of profit participation rights, which are attributable to a bank’s core capital. Key characteristics are:
- no pre-defined maturity;
- redemption must be resolved by the Annual General Shareholder Meeting;
- dividends are dependent on annual profit;
- participation certificates participate in the issuer’s losses in the same manner as shares, up to their nominal value;
- subscribers have the right to participate in the Annual General Shareholder Meeting and have the right to receive information. In contrast to holders of ordinary stock, participation certificate holders do not, however, have voting rights at the Annual General Shareholder Meeting.

The issuance had been offered to institutional investors during an offer period from 8-19 June 2009. The 500 million euros issued in this public offer was provided by the original subscribers from the sphere of RZB shareholders, who -- together with the Republic of Austria -- had subscribed to a total issue of 2.5 billion euros in participation capital.
"This successful placement of 500 million euros also underlines the high level of trust that investors place in RZB’s strategy and business model," said RZB CEO Walter Rothensteiner as the offer period came to an end. "We are pleased with this placement. Despite the difficult market conditions, the placement was oversubscribed."
QUESTO è MOLTO INTERESSANTE
By placing this participation capital with investors outside of the existing group of its shareholders,
RZB has met one of the preconditions established by the EU competition authority. In relation to government participation capital, the EU's Directorate-General for Competition had stipulated that public authorities can subscribe a maximum of 70 per cent, but that subscriptions by existing shareholders would only count as placement with third parties up to a limit of 10 per cent of the issue volume. Consequently, 20 per cent, i.e. 500 million euros, of the participation certificates already subscribed by RZB's shareholders was placed with new investors in a public offer.
