Apollo, Lone Star, JC Flowers Bid For Entire WestLB -Sources



FRANKFURT (Dow Jones)--Private equity investors Apollo Management LP, J.C. Flowers and Lone Star Funds placed bids for ailing German lender WestLB AG ahead of a noon Friday deadline, several people familiar with the matter told Dow Jones Newswires.

It remained unclear if a rumored fourth bidder also placed an offer for WestLB, which is required by the European Commission to find new owners by the end of 2011 as a condition for accepting state aid.

Financial investors would require WestLB's owners and the German government to provide further support for WestLB following a sale in the form of refinancing guarantees and possible risk shields, one person said.

The private equity investors have already presented their purchase plans to the European Commission in Brussels, which is closely following the sales negotiations and WestLB's restructuring process.

Separately Friday, the sales trustee overseeing WestLB's sales process, attorney Friedrich Merz, confirmed that the bank had received "high quality" bids for all of the bank. Merz further said that a deadline for final bids would be set following pending talks on WestLB's future with the European Commission.

On Tuesday, the bank's owners are expected to present a restructuring plan to the European Commission, which alleged late last year that the bank used EUR3.4 billion in extra state funds when creating its bad bank.

In addition to a new ownership structure, the commission is requiring substantial downsizing at WestLB in exchange for its approval of state aid, which the bank required during the financial crisis to stay afloat.

FRANKFURT, Feb 11 (Reuters) - Ailing German lender WestLB [WDLG.UL] has received several bids, its official sales agent said, as the bank enters the final stretch to present a restructuring plan to the European Commission.
"The bidders are interested in the whole landesbank", said Friedrich Merz, who has been appointed by WestLB's owners to oversee the sale of the Duesseldorf-based lender.
But sources close to the bank said that although four non-binding bids from strategic players and private equity investors have been tendered, none of the bidders will end up buying the whole lender. Instead, they will only try to pick up parts of it at later stages of the process.
WestLB, partially owned by the German state of and local savings banks, has been put on the block a condition for European Union approval of state aid granted to the bank in the financial crisis.
In January, Merz said he had received several tentative bids for the lender, which the EU said must be sold this year.
Financial sources say private equity investors Apollo (APOL.O), Blackstone (BX.N) and JC Flowers were among the bidders. [ID:nLDE7091NQ]
The EU also set a Feb. 15 deadline for WestLB to come up with a restructuring plan to make up for state aid in the financial crisis.
According to sources close to the negotiations, WestLB is nearing a deal that will keep key parts under public-sector control, but leave other units to be plucked off by investors.
The bank, which once strove to compete with the likes of Deutsche Bank (DBKGn.DE), will be reduced to a core that only caters to the municipally owned savings banks, the sources said.

Mi sembra di aver capito che e' un consorzio di questi 3 private equity a biddare...
Direi che i 3 fondi si presentano separatamente. Uno degli articoli malcelava delusione proprio perché non s'è presentato nessun gruppo bancario, ma fondi interessati a prendersi quello che avanza invece che a tirar fuori soldi per resuscitare il morto

Disci facevo riferimento ad un altro articolo che ho letto e che parlava proprio di consorzio...magaribil tizio si riferisce al fatto che questi 3 fondi hanmo biddato per west lb...ma non per l'intera banca, magari se la splittano in 3...
Comunque sia martedi sapremo di che morte moriremo o di quale grazia ci sara' concessa...

Dipende un po' dalle reps &warr che gli attuali azionisti possono/vogliono dare. Se dessero un set completo di garanzie (garantendo l'incasso dei crediti a bilancio, la veridicità dei bilanci, etc etc,), quei fondi potrebbero entrare. IMHO in minoranza: biddano per l'intero (= no break up), ma comprano solo una %.

Dipende un po' dalla volontà politica. Continuo a pensare che non lasceranno affondare questo carrozzone, ma potrei sbagliare.:titanic:
