Ho trovato questa PR sul sito di ABN. Non so cosa ne pensate, ma l'ho trovata interessante per la parte d ABN che andrà con lo stato olanadese, per questi motivi:
- fa riferimento espresso alla sospensione della cedola degli ibridi che finiranno a RBS. Nulla dice sul P ABN (per cui dovrebbe pagare)
- cita il "pusher period" di 12 mesi: se non ho capito male (ma qui chiedo l'aiuto di tutti), il fatto che ABN Group NV abbia distribuito il maxi-dividendo a Santander dovrebbe far scattare il mandatory payment per buona parte delle cedole 2010 dei P che finisco a RBS e - aggiungo io - delle cedole del P ABN
- per cui la cedola 2010 di ABN non dovrebbe essere differita, mentre per le successive non dovrebbero più esserci problemi, in quanto ABN diventa un gioellino, State Bank, etc...
Faccio una considerazione lato RBS:
- mi sembra che al di là di tutto continui ad esserci una forte volontà di RBS di pagare le cedole;
- alla fine, dopo tutti i disastri che ha fatto RBS, l'unico sacrificio vero che la Commissione UE ha imposto alle P di RBS è stato il non pagare 2 anni di cedole.

non ho ABN da tanto tempo e non saprei nemmeno dirti se quel pagamento a Santander puo' avere effetti sul perpetual ABN parte olandese.
Rileggendo il prospetto pero' noto una cosa buona ed una meno buona .
La buona e' che anche se il pagamento a Santander non facesse scattare il mandatory payment si resterebbe comunque in regime di optional deferral e non credo che lo stato olandese voglia esercitare questa facolta' (pagherebbe comunque gli interessi sulle cedole differite).
Piuttosto non ricordo se era gia' stata evidenziata la clausola in base alla quale a seguito di eventuale regulatory event (l'evento che farebbe scattare anche il mandatory deferral) il perpetual diventerebbe NON CUMULATIVO .
Stando alle notizie dovremmo essere ben lontani dal verificarsi del regulatory event ma comunque meglio sottolinearla, sopratutto perche' sarebbe un cambiamento definitivo.
Alteration of Terms upon a Regulatory Event
Upon the occurrence of a Regulatory Event, the terms of the Capital
Securities will be automatically altered so that they become noncumulative
Modified Securities, as more fully described in
Condition 7 of the terms and Conditions of the Capital Securities.
“Regulatory Event” means that at any Coupon Payment Date, the Issuer’s capital adequacy ratio would
after payment of the Coupon Payment, be less than the minimum capital adequacy requirements as
applied and enforced by the Dutch Central Bank or any other appropriate regulator;
Alteration of terms upon a Regulatory Event
Upon the occurrence of a Regulatory Event, the terms of the Capital Securities will be automatically
altered so to reflect that they have become non-cumulative Modified Securities which for International
Financial Reporting Standards (“IFRS”) purposes are classified as equity applying the current IFRS
standards. See “Terms and Conditions of the Capital Securities – 7(h). Alteration of terms upon a
Regulatory Event”.
If the terms of the Capital Securities are so altered, the Modified Securities that a Holder will then hold
will have different rights than those applicable to the Capital Securities and such rights are less
favourable to Holders than those that apply to the Capital Securities, provided that in a winding-up of
the Issuer the Modified Securities will in any case, likewise the Capital Securities, rank pari passu with
the most senior preference shares issued by the Issuer.
